About the Role
OpenLoop is looking for a Senior Director, Corporate Counsel to join our team. Reporting to the SVP, Deputy General Counsel, you will lead our corporate and M&A legal function, providing strategic, business-minded guidance on complex transactions and overseeing corporate governance across a growing, multi-entity organization.
This is a highly visible, hands-on leadership role for an experienced deal attorney who combines strong transactional judgment with proven people management. You will lead the legal execution of M&A transactions with substantial autonomy, partner directly with Corporate Development and senior leadership and direct outside counsel. You will manage and develop a Corporate Counsel, with the opportunity to expand your leadership to include our paralegal team as the function matures. You will also build the processes and playbooks that help Legal scale.
What You'll Do
Lead the legal execution of M&A transactions from LOI through diligence, negotiation, signing, closing, and post-closing legal matters, advising on transaction structure, key terms, and risk.
Serve as the primary legal partner to Corporate Development and a trusted advisor to senior leadership on acquisitions, investments, financings, corporate restructurings, and other strategic initiatives.
Lead drafting and negotiations (in partnership with outside counsel on M&A or other highly complex deals), coordinating internal stakeholders and specialist advisors to maintain momentum and resolve complex issues.
Develop playbooks and infrastructure to enable the internal Corporate legal team to handle less complex corporate transactions in-house (such as minority or majority investments and/or JV-type transactions).
Manage and develop the corporate legal team, beginning with a Corporate Counsel. Set priorities, delegate effectively, provide coaching and performance feedback, and support hiring and onboarding as the team grows.
Oversee subsidiary governance, entity management, and corporate housekeeping across the organization, guiding the Corporate Counsel’s and Corporate support staff’s execution and prioritizing legacy matters requiring remediation.
Oversee post-closing legal work, including governance updates, entity consolidation, intercompany agreements, and resolution of outstanding obligations, and partner with internal post-closing integration teams.
Direct outside counsel relationships, establishing clear expectations for scope, staffing, timelines, work quality, and fees. Forecast legal resourcing needs and outside counsel spend.
Build repeatable practices for M&A and other corporate transactions, including standard LOI positions, transaction playbooks, and guidance on recurring issues. Strengthen coordination between Legal and the business.
Oversee legal readiness for fundraising, financing, and other strategic transactions, including corporate records, capitalization information, and diligence materials.
Partner with Finance, Accounting, Compliance, People, and other business teams to translate legal considerations into practical recommendations. Identify and address material risks, drawing on healthcare regulatory specialists and escalating decisions appropriately.
Other duties as assigned.
Who You Are
Juris Doctor (JD) from an ABA-accredited law school and an active license to practice in at least one U.S. jurisdiction.
Significant corporate and M&A experience, with a demonstrated track record of leading complex transactions from initial structuring through closing.
Strong M&A training gained at a law firm, or comparable experience within a large organization with a complex subsidiary and entity structure.
Experience leading transactions in the high eight- to nine-figure range, or a substantial volume of transactions demonstrating comparable complexity and responsibility.
Proven people leader with formal experience managing and developing lawyers or other legal professionals, including setting expectations, evaluating performance, and providing actionable feedback.
Demonstrated ability to lead deals with substantial autonomy, direct outside counsel, and coordinate multiple transactions and stakeholders in a fast-moving environment.
Strong business judgment and the ability to advise senior executives on transaction structure, negotiating positions, and legal risk through clear, well-supported recommendations.
A strong foundation in corporate governance, entity management, capitalization matters, and financing diligence, with the ability to oversee this work and guide others’ execution.
Experience developing processes, playbooks, or systems that improve the quality, consistency, and efficiency of legal work.
Clear, responsive communication and strong follow-through, including the ability to anticipate issues, challenge assumptions constructively, and keep stakeholders aligned.
Healthcare M&A or experience in another regulated industry is a strong plus, but not required.
In addition, for salaried positions you would also be eligible for:
Medical, Dental, and Vision plans
Flexible Spending/Health Savings Accounts
Flexible PTO
401(k) + Company Match
Life Insurance, Pet insurance, and more
